Upgrading the system to a 64bit OS is theoretically possible, which doesn’t mean it will work as there are more things than just having a 64bit CPU.
I would suggest searching out a Microsoft Windows 7 64bit compatibility checker, which does a more detailed check. The bold text is what I did a google search on and get lots of hits, this is the first, http://www.microsoft.com/windows/compatibility/windows-7/en-us/default.aspx.
So I suggest you start there.

Which is why I gave you the link to a compatibility checker.
Memory (2GB would be considered a minimum) and graphics are only two things and can be upgraded. The graphics should work with win7 (the 64bit isn’t an harder on the graphics), but you may have to disable some win7 graphics bells and whistles (Aero) features or upgrade the card.

ok thanks for the answer and ive tried the windows 7 upgrade advisor and says that all is okay. are you using windows xp 64bit version or 32??
From what I know is that ‘Windows 7…64bit’ is supposed to be working faster than the 32bit if your hardware supports it.

No I’m not using the 64bit version of XP, that option was only in XP Pro (although I have XP pro), but XP Pro 64 bit is rarer than hens teeth. A tell tail sign, anyone with XP Pro SP3 has 32bit version as the XP Pro 64bit version is only at SP2.
But Bob why don’t you use a 64bit system?

Wishing and reality aren’t always the same thing.
When I buy another computer it will be a 64 bit system.
By then they may be offering 128 bit computers or,
I may be 72 inches under the ground. ;D

I really like my Windows 7 64-bit system as it is very fast and can take advantage of the hardware acceleration of my graphics card. ;D
